It is a private investment instrument created by Herencia de Allende®, similar to public investment instruments called Development Capital Certificates, that are listed on the Mexican Stock Exchange. The objective of the holder of an Herencia de Allende® Real Estate Capital Certificate, must be 100% capital gain, that is, although you can make the sale of your certificate at any time you want, it is not recommended that you see it as a short-term investment, since the benefit for the investor is in the gain on the added value of the land to which he is entitled through his certificate.
The Development Capital Certificates (CKDs or CCDs) are Mexican financial instruments placed by the Mexican Stock Exchange (BMV), which belong to the Development Capital Market and serve as a vehicle for financing activities and projects of sectors with long-term returns, such as infrastructure, mining, real estate developments and communications among others.
The main difference is precisely in its status as a private investment instrument, that is, the Herencia de Allende® CKI is not listed on the BMV nor is there a government agency that supervises it. The CKD is a long-term financial instrument designed for institutional investors such as Insurance and Pension Funds, supervised under the regulations of the National Banking and Values Commission (CNBV).
The Herencia de Allende® CKI represents the future right to acquire at a predetermined price an amount of land in the form of square meters of urbanized land, within the real estate development called Herencia de Allende® that is built in the city of San Miguel de Allende, Guanajuato.
Each Herencia de Allende® CKI is issued for the equivalent of 100 m2 of urbanized land in the Herencia de Allende® real estate development.
In its first issue, the certificates have an initial value of US$150 per square meter, that is, each CKI has a price of US$15,000.
An investor can acquire as many Herencia de Allende® Real Estate Capital Certificates as he wishes, as long as his investment position does not exceed 20% of the total Issuance of Certificates.
The issuance of CKIs will be 1,000 certificates of 100 m each, representing 10 hectares of the 320 of the total development. These thousand CKI’s represent 6.9% of the total salable area, which is 145 hectares and constitutes 45% of the development.
The certificates are valid for 20 years, at the end of which the holder is obliged to choose one of the following options:
a) Receive the capital plus a 3% annual return.
b) Choose the fraction of urbanized land.
There are no restrictions on land use, the holder of a CKI can exercise the conversion of his certificate for any land area that he wishes to acquire within the Herencia de Allende® estate complex.
Certificates can be sold at any time, but always with the Herencia de Allende® intermediation. Although the corresponding rights can be assigned, the sale between individuals is not allowed directly. This both to know the identity of all buyers, as to avoid money laundering risks.
Yes, each certificate allows to add beneficiaries in case of death of the original holder.
Certificates of real estate capital can be sold at any price that the owner wishes, although it is suggested that it is slightly below the price at which Herencia de Allende® is marketing its lots of land.
Herencia de Allende® will be on sale at US$250 per m2; very close to the average market price for Residential lots in San Miguel de Allende.
Certificates can be sold under two modalities;
a) Directly to an interested third party, with the intermediation of Herencia de Allende® or,
b) by direct offer of Herencia de Allende®? to a buyer of a lot.
It means that if a holder of a certificate wants to sell his position directly to a buyer of a piece of land, Herencia de Allende® is obliged to accept in payment for his land the CKI offered by the holder, and later if there is a complementary payment, would receive it directly from the buyer.
In other words, if an interested party is going to buy at Herencia de Allende® a 500 m2 piece of land at a price of US$250 x m2, but there is an owner of three CKIs that makes them available for Herencia de Allende® at a conversion price of US$230, Herencia de Allende® is obliged to charge the first 300 m2 to US$230 and deliver the product of that sale to the CKIs holder, to later charge the remaining 200 m2 at the price of US$250 x m2. That way, those interested in buying land space in Herencia de Allende® will always look first to CKIs holders to obtain a slight discount on the price of their operation.
The urbanization is estimated to start in the first quarter of 2020. The master plan is already in progress and the engineering staff is in the process of requesting the trace and land use. It is important to mention that Herencia de Allende® is located just within the San Miguel de Allende Land Management Plan, in the area that has been assigned for controlled growth of the city.
The holder of a certificate submits his application for execution to Herencia de Allende®, selecting from the current urbanization plan the lot or lots of land that are available and he wishes to acquire. Because the development represents a very large area of land, due to cost efficiency and adequate planning, over time, urbanization licenses will be requested for each new stage or section that is being enabled for sale.
In these cases, CKIs cannot be executed on stages or sections that do not have their urbanization license. The reason is the protection of certificate holders, since over time, due to engineering issues, the master plan could present small adjustments in its distribution, which is impossible to anticipate from the beginning.
In that case the holder of the certificates must pay at market price to Herencia de Allende® the surplus between the difference of m2 that his certificates contemplate and the lot of land that he wishes to acquire. That is, if the land measures 400 m2 and the holder has three certificates for a total of 300 m2 at US$150 x m2 each, he would have to pay 100 m2 of difference, for example, at US$250 x m2 if that were the market price at which Herencia de Allende® land is being sold, so in order to acquire the land, he would execute his three certificates and additionally pay US$25,000.
This case can only be presented if the difference in square meters of land is less than 100 m2. In which case Herencia de Allende® would pay the certificate holder the difference of the square meters not exercised, at the same price of the value of his certificate plus a return of 3% per year from the moment he acquired it until the date on which he executed on urbanized land.
That’s right, Herencia de Allende® charges a commission of 4% plus VAT (Value Added Tax) on the total amount to be paid for the CKIs, which is discounted to the holder from the amount to be received.
Herencia de Allende® charges this commission to cover commercial and legal expenses for the transmission or execution of each CKI.
Herencia de Allende is an active company in the SAT registration HAL170216DH4, based in the city of León Guanajuato and constituted as a Public Limited Investment Promotion Corporation, and therefore has the legal support to establish private investment contracts. Also on behalf of Herencia de Allende, SAPI de CV.
Due to transparency and money laundering prevention, no cash deposits can be made to pay Herencia de Allende® CKIs. No Herencia de Allende® sales office, real estate advisor or commercial broker is authorized to receive cash deposits.
That’s right, an office with an international presence such as Deloitte will be hired so that every year it issues a legal opinion, through which it is guaranteed that encia de Allende® has available developable land to support the Certificates of Real Estate Capital that it has issued without execution.
The certificates are issued directly by the company Herencia de Allende SAPI de CV.
Es un instrumento de inversión privado creado por Herencia de Allende®, similar a los vehículos de inversión públicos denominados Certificados de Capital de Desarrollo que cotizan en la Bolsa Mexicana de Valores. El objetivo del tenedor de un CKI de Herencia de Allende ® debe ser 100% patrimonial, es decir, aunque puede realizar la venta de su certificado en cualquier momento que lo desee, no se recomienda que lo vea como una inversión de corto plazo, ya que el beneficio para el inversionista está en la ganancia por plusvalía de la tierra a la que tiene derecho por medio de su certificado.
Los Certificados de Capital de Desarrollo (CKDs o CCDs, por sus siglas) son instrumentos financieros mexicanos colocados por la Bolsa Mexicana de Valores (BMV), que pertenecen al Mercado de Capital de Desarrollo y sirven como vehículo para el financiamiento de actividades y proyectos de sectores con rendimientos a largo plazo, como la infraestructura, Minería, Desarrollos Inmobiliarios y Comunicaciones entre otros.
La principal diferencia está precisamente en su condición de instrumento privado de inversión, es decir, el CKI de Herencia de Allende® no cotiza en la BMV ni existe un organismo gubernamental que lo supervise. El CKD por su parte es un instrumento financiero de largo plazo diseñado para inversionistas institucionales como Aseguradoras y Fondos de Pensiones, supervisado bajo normativa de la Comisión Nacional Bancaria y de Valores (CNBV).
Los CKIs de Herencia de Allende ® representan el derecho futuro a adquirir a un precio predeterminado una cantidad de tierra en forma de metros cuadrados de terreno urbanizado, dentro del desarrollo inmobiliario denominado Herencia de Allende ® que se construye en la ciudad de San Miguel de Allende, Guanajuato
Cada CKI de Herencia de Allende ® se emite por el equivalente a 100 m2 de terreno urbanizado en el desarrollo inmobiliario Herencia de Allende ®
En su primera emisión los certificados tienen un valor inicial de US$150 por metro cuadrado, es decir, cada CKI tiene un precio de US$15,000.
Un inversionista puede adquirir tantos Certificados de Capital Inmobiliario de Herencia de Allende ® como desee, siempre que su posición de inversión no sobrepase el 20% de la emisión total de Certificados.
La emisión de CKIs será de mil certificados de 100 m cada uno, que representan 10 hectáreas de las 320 totales del desarrollo. Estos mil CKIs representan el 6.9% de la superficie total vendible, que es de 145 hectáreas que constituyen el 45% del desarrollo.
Los certificados tienen una vigencia de 20 años, al término de los cuales el tenedor está obligado a elegir una de las siguientes opciones:
a) Recibir su capital más un rendimiento del 3% anual.
b) Elegir su fracción de terreno urbanizado.
No existen restricciones de vocación de uso de suelo, es decir, el tenedor de un CKI puede ejercer la conversión de su certificado por cualquier superficie de terreno que desee adquirir dentro del complejo inmobiliario Herencia de Allende®.
Los certificados se pueden vender en cualquier momento, pero siempre con la intermediación de Herencia de Allende®. Aunque se pueden ceder los derechos correspondientes, no está permitida la venta entre particulares directamente. Esto tanto para conocer la identidad de todos los compradores, como para evitar riesgos de lavado de dinero.
Si se puede, cada certificado permite agregar beneficiarios en caso de fallecimiento del tenedor original.
Los certificados de capital inmobiliario se pueden vender a cualquier precio que desee el tenedor titular, aunque se sugiere que sea ligeramente por debajo del precio al que Herencia de Allende ® esté comercializando sus lotes de terreno que vaya poniendo a la venta.
Herencia de Allende® saldrá a un precio de US$250 por m2; muy cercano al precio promedio de mercado para lotes residenciales en San Miguel de Allende.
Los certificados se pueden vender bajo dos modalidades;
a) Directamente a un tercero interesado, con la intermediación de Herencia de Allende o,
b) Mediante oferta directa de Herencia de Allende a un comprador de un lote de terreno.
Significa que si un tenedor de un certificado quiere vender directamente su posición a un comprador de un lote de terreno, Herencia de Allende ® está obligada a aceptar en pago por su terreno el CKI ofertado por el tenedor, y posteriormente si hubiera un pago complementario lo recibiría directamente del comprador.
En otras palabras, si un interesado le va a comprar a Herencia de Allende ® un terreno de 500 m2 a un precio de US$250 x m2, pero existe un tenedor de tres CKI´s que pone a disposición de Herencia de Allende ® a un precio de conversión de US$230, Herencia de Allende ® está obligada a cobrar los primeros 300 m2 a US$230 y entregar el producto de esa venta al tenedor de los CKI´s, para posteriormente cobrar los 200 m2 restantes al precio de US$250 x m2.
De esta forma los interesados en comprar tierra en Herencia de Allende® siempre buscarán primero a los tenedores de CKI´s para obtener un ligero descuento en el precio de su operación.
La urbanización se tiene estimada iniciar en el primer trimestre del año 2020. Ya se tiene el plan maestro y están en proceso las ingenierías para iniciar el trámite de solicitud de traza y uso de suelo. Es importante mencionar que Herencia de Allende® se ubica justo dentro del Plan de Ordenamiento Territorial de San Miguel de Allende, en la zona que ha sido asignada para crecimiento controlado de la ciudad.
El tenedor titular de un certificado presenta su solicitud de ejecución a Herencia de Allende ®, seleccionando del plan de urbanización vigente el lote o lotes de terreno que estén disponibles y desea adquirir. Debido a que el desarrollo representa una extensión de tierra muy grande, por eficiencia en costos y planeación adecuada, a través del tiempo se irán solicitando las licencias de urbanización para cada nueva etapa o sección que se vaya habilitando para venta.
En estos casos no se pueden ejecutar los CKI´s sobre etapas o secciones que no cuenten aun con su licencia de urbanización. La razón es para protección de los tenedores de certificados, toda vez que a lo largo del tiempo por cuestiones de ingenierías el plan maestro podría llegar a presentar pequeños ajustes en su distribución, mismos que es imposible anticipar desde un inicio.
En ese caso el tenedor de los certificados debe pagar a precio de mercado a Herencia de Allende ® el excedente entre la diferencia de m2 que contemplan sus certificados y el lote de terreno que desea adquirir. Es decir, si el terreno mide 400 m2 y el tenedor titular posee tres certificado por un total en conjunto de 300 m2 a US$150 x m2 c/u, tendría que pagar los 100 m2 de diferencia a, por ejemplo, US$250 x m2 si ese fuera el precio de mercado al que esté vendiendo terrenos Herencia de Allende®, de tal forma que para adquirir su terreno ejecutaría sus tres certificados y pagaría adicionalmente $US$25,000.
Este supuesto solamente puede presentarse si la diferencia en metros cuadrados de terreno es menor a 100 m2. En cuyo caso Herencia de Allende ® le pagaría al tenedor del certificado la diferencia de los metros cuadrados no ejercidos, al mismo precio del valor de su certificado más un rendimiento del 3% annual desde el momento en que lo adquirió hasta la fecha en que lo ejecutó en tierra urbanizada.
Así es, Herencia de Allende cobra una comisión del 4% más IVA sobre el monto total a pagar por los CKI´s, misma que descuenta al tenedor titular del monto por recibir.
Herencia de Allende® cobra esta comisión para cubrir los gastos comerciales y legales por la transmisión o ejecución de cada CKI.
Herencia de Allende es una empresa activa en el SAT con RFC HAL170216DH4, domiciliada en la ciudad de León Guanajuato y constituida como una Sociedad Anónima Promotora de Inversión de Capital Variable, por lo que cuenta con el respaldo jurídico para establecer contratos privados de inversión. Su página WEB para consulta del desarrollo es www.herenciadeallende.mx.
Para evitar riesgos por entregar dinero a terceros diferentes de Herencia de Allende ®, el pago se realiza directamente mediante depósito de cheque nominativo en la cuenta bancaria número 18794230 0201 en Banco del Bajío S.A. a nombre de Herencia de Allende SAPI de CV, o mediante transferencia electrónica a la cuenta CLABE 030 225 900 010 910 501 en Banco del Bajío S.A.. Igualmente a nombre de Herencia de Allende SAPI de CV.
Por transparencia y prevención de lavado de dinero no se pueden hacer depósitos en efectivo para pagar CKI´s de Herencia de Allende ®. Ninguna oficina de ventas de Herencia de Allende ®, asesor inmobiliario o bróker comercial está autorizada para recibir depósitos en efectivo.
Así es, se contratará a un despacho dcon presencia internacional como Deloitte para que cada año emita un dictamen legal, por medio del cual se garantice que Herencia de Allende cuente con tierra urbanizable disponible para respaldar los Certificados de Capital Inmobiliario que tenga emitidos sin ejecutar.
